Wingman Terms of Use

These Terms of Use ("Terms") are an agreement between Adept Apps LLC, a Michigan limited liability company ("Adept Apps", "we", "us"), and the organization that installs or uses the Software ("Customer", "you"). By installing, enabling or using the Software, you accept these Terms on behalf of your organization and confirm that you have authority to do so. If you do not agree, do not install or use the Software.

2. Relationship to Salesforce terms

The Software is distributed through the Salesforce AppExchange and runs entirely within the Salesforce Services. Your use of the Salesforce Services is governed by your agreement with Salesforce, and nothing in these Terms modifies that agreement. These Terms apply in addition to, and not instead of, any Salesforce terms. Salesforce is not a party to these Terms and has no responsibility for the Software.

3. License

3.1 Grant. Subject to these Terms, Adept Apps grants you a non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software in your Orgs for your internal business purposes, for the term set out in clause 15.

3.2 Users. You may permit any number of your Users to use the Software. You are responsible for your Users' compliance with these Terms.

3.3 Fees. The Software is provided free of charge. Adept Apps may offer other products or paid editions in future under separate terms; nothing obliges Adept Apps to continue to provide the Software or any feature free of charge to new customers.

4. Restrictions

You must not, and must not permit anyone else to: (a) sell, rent, lease, sublicense, distribute or otherwise make the Software available to any third party, except that your Users and your contractors may use it on your behalf; (b) modify, adapt or create derivative works of the Software; (c) reverse engineer, decompile or attempt to derive the source code of the Software, except to the extent that applicable law permits this notwithstanding this restriction; (d) remove or alter any proprietary notice in the Software; (e) use the Software in breach of applicable law, including employment, privacy and data-protection law; or (f) use the Software to build a competing product.

5. What the Software does, and does not do

5.1 The Software displays, on a Salesforce record page, which Users currently have that record open, and allows an administrator to designate Users whose presence is not displayed to others.

5.2 The Software is an advisory indicator only. It does not lock records, prevent concurrent editing, or guarantee that the information it displays is complete, accurate or current at any moment. Presence information is approximate and is subject to delays of several seconds, browser behavior, network conditions and the availability of the Salesforce Services. You must not rely on the Software as a control for data integrity, security, compliance or any other purpose.

5.3 The Software depends on features of the Salesforce Services, including Platform Cache, Lightning Experience and the Salesforce Services' availability and limits. Adept Apps does not control the Salesforce Services and is not responsible for their availability, performance or changes.

6. Data

6.1 What the Software holds. The Software holds, within your Org's Platform Cache only, a short-lived record for each Salesforce record currently being viewed: the record identifier and, for each visible User viewing it, the User's Salesforce user identifier, display name, last check-in time and refresh interval. Entries expire automatically within minutes of a User leaving a record.

6.2 No transmission to Adept Apps. The Software does not transmit any of this information, or any other Customer data, outside your Org. Adept Apps has no access to your Org, your data or your Users' activity through the Software. Adept Apps is not a processor or service provider of Customer personal data in respect of the Software's operation.

6.3 Installation information. When you install the Software, Salesforce's License Management Application provides Adept Apps with information about the installation as described in the Wingman Privacy Policy.

6.4 Your responsibilities. You are the controller of, and solely responsible for, all data in your Org. You are responsible for configuring the Software, including permission sets, in accordance with your policies and applicable law.

7. Hidden Viewing

7.1 The Software includes an optional feature that lets Users designated by your administrator ("Hidden Users") see which other Users are viewing a record without themselves being shown to those Users. The feature is inactive until your administrator assigns the relevant permission set.

7.2 You are solely responsible for deciding whether to enable Hidden Viewing, for choosing who may use it, and for its use. In particular, you are responsible for compliance with all employment, labor, privacy, data-protection and workplace-monitoring laws, regulations, collective agreements and internal policies that apply to you, including any obligation to inform, consult or obtain the consent of your Users, works councils or employee representatives.

7.3 Adept Apps makes no representation that Hidden Viewing is lawful or appropriate in any jurisdiction or for any purpose. Adept Apps provides the Documentation describing how the feature works so that you can make that assessment.

8. Support and updates

8.1 Adept Apps provides support for the Software on a reasonable-efforts basis, without any guaranteed response or resolution time, through support@adeptapps.net. Adept Apps has no obligation to provide support for issues caused by the Salesforce Services, your configuration, or your other software.

8.2 Adept Apps may release updates to the Software at its discretion. Updates are delivered through the Salesforce package upgrade mechanism and are subject to these Terms. Adept Apps may modify or remove features in an update.

8.3 Adept Apps may discontinue the Software on at least 30 days' notice, given through the AppExchange listing, the Documentation or the contact details you provided when installing. Discontinuation does not affect an installed version already in your Org, but Adept Apps will have no further obligation to support or update it.

9. Intellectual property

The Software and Documentation are licensed, not sold. Adept Apps and its licensors own all right, title and interest in the Software and Documentation, including all intellectual property rights. No rights are granted except as expressly stated in these Terms. "Wingman" and the Wingman logo are marks of Adept Apps.

10. Feedback

If you provide suggestions, ideas or other feedback about the Software, you grant Adept Apps a perpetual, irrevocable, royalty-free license to use it for any purpose, without obligation to you.

11. Compliance with law and export control

You must use the Software in compliance with all applicable laws. You confirm that you are not, and are not acting on behalf of, a person or entity that is prohibited from receiving the Software under applicable export-control or sanctions laws.

12. Disclaimer of warranties

THE SOFTWARE AND DOCUMENTATION ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, ADEPT APPS DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. ADEPT APPS DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE INFORMATION IT DISPLAYS WILL BE ACCURATE OR CURRENT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

13. Limitation of liability

13.1 TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL ADEPT APPS OR ITS OFFICERS, EMPLOYEES, CONTRACTORS OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA OR USE, ARISING OUT OF OR IN CONNECTION WITH THE SOFTWARE OR THESE TERMS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13.2 TO THE FULLEST EXTENT PERMITTED BY LAW, ADEPT APPS'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THE SOFTWARE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID ADEPT APPS FOR THE SOFTWARE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, AND (B) TEN US DOLLARS (US$10).

13.3 Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud.

14. Indemnity

You will defend, indemnify and hold harmless Adept Apps from and against any claim, loss, liability, cost or expense (including reasonable legal fees) arising from (a) your use of the Software in breach of these Terms or applicable law, or (b) your use of the Hidden Viewing feature, including any claim by a User, employee, employee representative or regulator relating to workplace monitoring, privacy or data protection.

15. Term and termination

15.1 These Terms take effect when you first install the Software and continue until terminated.

15.2 You may terminate at any time by uninstalling the Software from all your Orgs.

15.3 Adept Apps may terminate these Terms and the license immediately on notice if you breach these Terms, or on 30 days' notice for any reason. On termination you must stop using and uninstall the Software.

15.4 Clauses 6.4, 7, 9, 10, 12, 13, 14, 15.4 and 16 to 18 survive termination.

16. Changes to these Terms

Adept Apps may update these Terms from time to time. The current version is published at https://adeptapps.net/wingman/terms. Material changes will be indicated by a new effective date and, where practicable, notice through the AppExchange listing or the Documentation. Continued use of the Software after the effective date of a change constitutes acceptance of the changed Terms.

17. Governing law and disputes

These Terms are governed by the laws of the State of Michigan, United States, without regard to its conflict-of-laws rules. The state and federal courts located in the State of Michigan have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, and each party submits to that jurisdiction.

18. General

18.1 Entire agreement. These Terms, together with the Privacy Policy and the Documentation, are the entire agreement between you and Adept Apps about the Software and supersede all prior agreements and communications on that subject.

18.2 Severability. If any provision is held unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect.

18.3 No waiver. A failure to enforce any provision is not a waiver of it.

18.4 Assignment. You may not assign these Terms without Adept Apps' written consent. Adept Apps may assign these Terms to an affiliate or a successor to its business.

18.5 Independent parties. The parties are independent contractors. These Terms create no partnership, agency or employment relationship.

18.6 Notices. Notices to Adept Apps must be sent by email to support@adeptapps.net. Notices to you may be sent to the contact details associated with your installation or your Salesforce Org.
